Firstly there must be an intention to create legal relations. Courts will not enforce an ageement as legally binding unless it was expressly intended to be legally enforced by a court. This theory is based on two presumptions, firstly that parties to commericial agreements intend to be legally bound, and secondly that parties to domestic, social or family agreements do not intend to be bound.
