Acquisition highlights Disney’s strategic focus on quality branded content, technological innovation and international expansion to build long-term shareholder value

Burbank, CA and New York, NY, August 31, 2009 —Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company (NYSE: DIS) has agreed to acquire Marvel Entertainment, Inc. (NYSE:MVL) in a stock and cash transaction, the companies announced today.

Under the terms of the agreement and based on the closing price of Disney on August 28, 2009, Marvel shareholders would receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own. At closing, the amount of cash and stock will be adjusted if necessary so that the total value of the Disney stock issued as merger consideration based on its trading value at that time is not less than 40% of the total merger consideration.
Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.
“This transaction combines Marvel’s strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney’s creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories,” said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. “Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney.”

“We believe that adding Marvel to Disney’s unique portfolio of brands provides significant opportunities for long-term growth and value creation,” Iger said.

“Disney is the perfect home for Marvel’s fantastic library of characters given its proven ability to expand content creation and licensing businesses,” said Ike Perlmutter, Marvel’s Chief Executive Officer. “This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney’s tremendous global organization and infrastructure around the world.”

Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney’s global lines of business to build and further integrate Marvel’s properties.

The Boards of Directors of Disney and Marvel have each approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, effectiveness of a registration statement with respect to Disney shares issued in the transaction and other customary closing conditions. The agreement will require the approval of Marvel shareholders. Marvel was advised on the transaction by BofA Merrill Lynch.

I don't see the big hoo-haa...they are out to make money, nothing will change.

Didn't read the post but I tweeted earlier today:

Now that Disney have bought Marvel, I'm looking forward for the next spiderman movie with Hannah Montana as the super villain.

Anyway, its a crazy tie up. I know Marvel was having trouble back in the day and nearly went out of business but comics had a revival, but Disney... dude, weird!

its not like the ain't sold out years ago - they would be out of business if they didn't. Same with DC, maybe warner cartoons will buy them actually?

It's Marhvel!

- All current deals with various studios remain in place. Spider-Man movies stay at Sony, Fantastic Four and X-Men films still owned by Fox for now, etc. When these deals expire, however, the plan is to "bring them home" to Disney.

- Paramount still has a deal for five more Marvel movies, including Iron Man 2, Thor, The First Avenger: Captain America, The Avengers and one other unrevealed film. That deal is still in place.

- "Disney would like, over time, to become the sole distributor of Marvel films, but we must keep in the Paramount deal, legally." Whatever that means.

- Disney says they don't plan to interfere in how Marvel is exploiting or promoting the characters - they feel Marvel is already doing a great job on that and don't want to mess with success, so it's up to them to decide what movies or shows to make or how to make them or whatever.

- Biggest change seems to be that Marvel video games will now primarily be produced by Disney Interactive Studios. They do say, however, that some game licenses MAY stay at other companies, "depending on what works best."

- Bottom line: "The goal here isn't to remake Marvel in the image of Disney. If it ain't broke, don't fix it. We simply want to shine a brighter light on Marvel."

Anyway, i think this whole deal is for Disney at drawing male viewres back to Disney by bringing Marvhel into the mix. Seeing how most of their shows are... not action packed for example or adventurous.

Maybe they'll replace Stan's cameos with Walt's cryogenically frozen stiff...but seriously D.C should be out of business...the only thing vaguely readable is the Vertigo line...I tried to read this last week:

With Disney's mutliple outlets for Marvel's creative and the fact that Disney needs help with the boys group and Marvel has that covered, it could be very good for both groups.

You may not like Hannah Montana but millions of girls did and there parents paid plenty to keep their girls hapy.

Did Up suck? How was that ESPN Monday Night Football? Don't forget Disney owns Pixar, ESPN, Muppets, and lots of other smaller companies that people enjoy.

Didn't know that - but I suppose every1 has their hands in each other pockets giving each other hand jobs.

DC have superman, it gives them license to bring out whatever other crap they want, because they'll always have superman (y)

It is true that Disney own a lot of stuff that are adult focused so...perhaps they won't touch a thing on Marvel's plans regardless.
